Welcome to DocuPal! These Terms of Service ("Terms") govern your access to and use of the DocuPal AI-assisted document writing tool, website, and related services (collectively, the "Service") provided by Bluedot Technology, LLC, a Delaware limited liability company ("Bluedot," "we," "us," or "our").
By accessing or using the Service, creating an account, or clicking a button or checking a box marked "I Agree" (or similar), you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Refund Policy, Cookies Policy, and Fair Use Policy, all of which are incorporated herein by reference. Our Pricing Page details our subscription plans and fees. For any inquiries, please refer to our Contact Page or the contact details provided herein. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.
1. Description of Service
DocuPal is an AI-assisted document writing tool that utilizes state-of-the-art large language models (LLMs) from third-party providers (e.g., OpenAI, Google, Grok) to help users create professional and personalized documents for business needs. The Service is accessed via the DocuPal website.
2. Eligibility and Account Registration
- Eligibility: To use DocuPal, you must be capable of forming a binding contract with Bluedot Technology, LLC and not be barred from using the Services under applicable law. While we do not impose a specific age restriction beyond this, users are expected to have an understanding of business documents. We recommend that users be at least 18 years of age or the age of legal majority in their jurisdiction.
- Account Creation: To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process, including your name and email address. For full access or specific subscription tiers, you may be required to provide additional information such as business name, address, logo, and other relevant details ("Account Information").
- Account Security: We prioritize your account security. DocuPal does not use traditional passwords. Account access is managed through biometric verification (where available and supported by your device) and/or email-based magic link logins. You are responsible for maintaining the security of your email account associated with DocuPal and for all activities that occur under your DocuPal account. 3. Service Provision and Usage Rights
- License to Use DocuPal: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes to generate, store, and share documents as intended by the Service's functionality.
- Usage Limits: Your use of the Service may be subject to certain limitations, such as limits on the number of words generated by AI, storage capacity, or other features, depending on your subscription plan (free or paid). These limits will be detailed on our Pricing Page or within the Service. Our Fair Use Policy provides further guidelines on acceptable usage levels. We offer add-on services to increase certain limits, subject to additional fees.
- Service Modifications: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice at our sole discretion. You agree that Bluedot will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
- Service Availability: The Service is provided "as is" and "as available." We do not provide any Service Level Agreements (SLAs) or guarantee uninterrupted or error-free operation of the Service.
4. Acceptable Use Policy
You agree not to misuse the Service or help anyone else to do so. You agree to use the Service only for lawful purposes and in accordance with these Terms and our Fair Use Policy. Specifically, you agree not to:
- Use the Service for any illegal activities or to promote illegal activities.
- Generate, upload, store, or share any content that infringes upon any third party's intellectual property rights, privacy rights, or publicity rights.
- Generate, upload, store, or share any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our computer systems or networks.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Service, except to the extent permitted by applicable law.
- Re-brand, resell, or sublicense the Service or use the Service to provide services to third parties without our express written permission.
- Use any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser.
- Responsibility for Generated Content: You acknowledge that AI-generated content may not always be accurate, complete, or suitable for your specific needs. You are solely responsible for reviewing, editing, and validating all documents and content generated through DocuPal before use. You must understand the content and its potential impact. Bluedot Technology, LLC is not responsible for any incorrect information, errors, or omissions in content generated by the Service, nor for any consequences arising from your use of such content.
5. User-Generated Content
- Ownership: You retain all ownership rights to the documents, images, data, and other materials you upload, import, create, or generate using the Service ("User Content").
- License to Bluedot: By using the Service, you grant Bluedot Technology, LLC a worldwide, non-exclusive, royalty-free, sublicensable (solely to our service providers to the extent necessary to provide the Service) license to use, reproduce, modify (for formatting or display purposes), process, store, transmit, and display your User Content solely to the extent necessary to provide, maintain, secure, and improve the Service, and as otherwise permitted by these Terms and our Privacy Policy. This license is for the sole purpose of operating and improving the Service.
- Responsibility for User Content: You are solely responsible for your User Content, including its legality, accuracy, reliability, and appropriateness. You represent and warrant that you have all necessary rights, licenses, and permissions to submit your User Content and to grant the licenses set forth in these Terms, and that your User Content does not and will not violate any third-party rights or any applicable laws.
- Prohibited Content: While we do not proactively monitor User Content, we encourage you not to upload or generate content that is copyrighted by others without permission, infringes on third-party intellectual property, promotes violence, is offensive, illegal, or pornographic, as further detailed in our Fair Use Policy.
- Content Review and Removal: Bluedot Technology, LLC does not typically review User Content but reserves the right (but not the obligation) to remove or disable access to any User Content that we believe, in our sole discretion, violates these Terms or any applicable law, or if we receive a complaint regarding such content. We will suspend users found to be engaging in illegal activities using our platform, as further detailed in Section 11.
- Public Sharing: If you choose to share your User Content publicly (e.g., via a unique signed link generated by the Service), you are solely responsible for such sharing and any consequences thereof. Any complaints regarding content shared via such links are the responsibility of the user or brand that shared it.
6. Data Management and Retention
- Data Storage and Backup: We implement measures to help protect your User Content and regularly back up our systems to prevent data loss. However, you are responsible for maintaining your own backups of your User Content.
- Data Deletion:
- User Request: We will delete your User Content upon your verified request. As this data may be critical business information, we will require manual verification to process such requests to prevent accidental or malicious data loss.
- Account Inactivity: For users with free accounts, we may delete User Content and/or the account if it remains inactive for a continuous period of two (2) years. Users with active paid subscriptions may remain inactive for as long as their subscription is maintained without their data being deleted due to inactivity.
- Data Security: We implement security measures designed to protect your information. All data transmitted between your device and our servers is protected using SSL/TLS encryption. More information can be found in our Privacy Policy.
7. Fees, Payments, and Subscriptions
- Subscription Plans and Fees: DocuPal offers both free and paid subscription plans. The features, limits, and pricing for each plan are detailed on our Pricing Page. All fees are quoted in U.S. Dollars unless otherwise specified.
- Payment Processing: We use a third-party PCI DSS certified payment processor to handle all payment card transactions. Bluedot Technology, LLC does not store your full credit card information on our systems. You agree to provide accurate and complete payment information and authorize us (or our third-party payment processor) to charge your chosen payment method for all applicable fees.
- Billing Cycle: Paid subscriptions are billed in advance on a recurring basis (e.g., monthly or annually), as specified at the time of purchase. Your subscription will automatically renew at the end of each billing cycle unless you cancel it in accordance with our cancellation policy.
- Refunds: Our refund policy is detailed at https://docupal.io/legal/refund-policy. All payments are non-refundable except as required by law or as otherwise specified in our Refund Policy.
- Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any price changes by sending an email to the address associated with your account or by posting a notice within the Service or on our Pricing Page. Your continued use of the Service after the price change comes into effect constitutes your agreement to pay the modified fee amount.
- Taxes: You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your use of the Service, excluding only taxes based on Bluedot Technology, LLC's net income.
8. Intellectual Property Rights
- DocuPal IP: The Service, including its software, website, design, text, graphics, images, logos, trademarks, trade names, documentation, and all other content and materials provided by Bluedot Technology, LLC (excluding User Content), and all intellectual property rights therein (collectively, "DocuPal IP"), are and will remain the exclusive property of Bluedot Technology, LLC and its licensors. Except for the limited license granted to you in Section 3, these Terms do not grant you any rights, title, or interest in or to the DocuPal IP. You agree not to copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the DocuPal IP. Re-branding or reselling of our Service is strictly prohibited.
- User Feedback: We welcome your feedback, comments, and suggestions for improvements to the Service ("Feedback"). You can submit Feedback by emailing help@docupal.io (or via https://docupal.io/contact) or through other channels we may provide. If you provide us with any Feedback, you grant Bluedot Technology, LLC a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose, without any obligation or compensation to you. We may, at our discretion, offer gifts, credits, or acknowledgments for Feedback, but any such recognition is solely determined by our team and is not guaranteed.
- Third-Party LLM Models: You acknowledge that DocuPal utilizes LLMs from third-party providers. We rely on the contractual commitments from these enterprise API providers that data submitted via their APIs is not used for training their models. Bluedot Technology, LLC is not responsible for the policies or practices of these third-party LLM providers beyond our contractual agreements with them.
9. Privacy and Data Protection
- Privacy Policy: Our collection and use of personal information in connection with the Service is described in our Privacy Policy. Our use of cookies is detailed in our Cookies Policy. By using the Service, you agree to the terms of these policies.
- Analytics: We use Google Analytics on our public-facing website. We do not track your activity within the Service after you log in for analytics purposes beyond what is necessary for providing and improving the Service.
- Confidentiality of User Documents: We treat your User Content as confidential. Internal sharing of your documents within your organization (if applicable) can be controlled by policies you set up within the Service, where such functionality is provided. Bluedot Technology, LLC will not access your User Content for any purpose other than as necessary to provide, maintain, secure, and improve the Service, or as required by law.
- Data Protection Compliance: We are committed to complying with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Economic Area and the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA) for California residents, as detailed in our Privacy Policy.
10. Disclaimers; Limitation of Liability; Indemnification
- Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BLUEDOT TECHNOLOGY, LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED; (B) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE, INCLUDING ANY AI-GENERATED CONTENT, WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND APPROVING ANY CONTENT GENERATED THROUGH THE SERVICE BEFORE ITS USE AND THAT BLUEDOT TECHNOLOGY, LLC SHALL HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY INACCURACIES, ERRORS, OR OMISSIONS IN SUCH CONTENT OR FOR ANY DAMAGES OR LOSSES RESULTING FROM YOUR RELIANCE ON OR USE OF SUCH CONTENT.
- Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BLUEDOT TECHNOLOGY, LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BLUEDOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI-GENERATED CONTENT; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLUEDOT TECHNOLOGY, LLC'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED U.S. DOLLARS (\$100.00) OR (II) THE AMOUNTS PAID BY YOU TO BLUEDOT TECHNOLOGY, LLC FOR ACCESS TO OR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- Indemnification: You agree to defend, indemnify, and hold harmless Bluedot Technology, LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service, including, but not limited to, your User Content and any use of the Service's content (including AI-generated content) other than as expressly authorized in these Terms; or (c) your violation of any law or the rights of a third party.
11. Termination and Suspension
- Termination by You: You may cancel your account and terminate these Terms at any time by following the instructions within the Service or by contacting us at help@docupal.io (or via https://docupal.io/contact).
- Termination or Suspension by Bluedot: We may, in our sole discretion, suspend or terminate your access to or use of the Service, or your account, immediately and without prior notice or liability, for any reason or no reason, including but not limited to:
- If you breach any provision of these Terms or our Fair Use Policy.
- If you fail to pay any fees when due.
- If we receive a complaint or have reason to believe you are using the Service for illegal activities. In such cases of suspension or termination due to illegal activities or a material breach of these terms, you will not be entitled to any refund of prepaid fees, as per our Refund Policy.
- If required by law or by a regulatory authority.
- If we discontinue the Service. We will make a reasonable effort to provide notice of termination or suspension where appropriate, but are not obligated to do so.
- Effect of Termination: Upon termination of these Terms or your account: (a) your right to access and use the Service will immediately cease; (b) we may delete your Account Information and User Content in accordance with our data retention policies (see Section 6 and our Privacy Policy), though we may retain certain data as required by law or for legitimate business purposes; (c) any provisions of these Terms that by their nature should survive termination will survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. General Legal Provisions
- Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Notice may be provided by posting the updated Terms on our website, by sending an email to the address associated with your account, or through the Service. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
- Governing Law and Jurisdiction: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Delaware, USA, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
- Dispute Resolution; Arbitration: At Bluedot Technology, LLC's sole discretion, it may require You to submit any disputes arising from these Terms or use of the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.
- Third-Party Services: The Service may integrate with or rely on third-party services, such as LLM providers. Your use of any third-party services is subject to the terms and conditions and privacy policies of such third parties. Bluedot Technology, LLC is not responsible or liable for the actions, content, or policies of any third-party services, nor for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such services.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
- Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
- Waiver: No waiver by Bluedot Technology, LLC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Bluedot Technology, LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
- Entire Agreement: These Terms, our Privacy Policy, our Refund Policy, our Cookies Policy, our Fair Use Policy, and our Pricing Page constitute the sole and entire agreement between you and Bluedot Technology, LLC regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

- Force Majeure: Bluedot Technology, LLC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
